Terms of Service

By accessing or using Dispatchino ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including dispatchers, carriers, and any other individuals or entities accessing the Service.

Dispatchino is a platform that uses artificial intelligence to assist with load negotiation, booking, and communication workflows for motor carriers. The Service may include web applications, browser extensions, and related tools.

The Service is currently in a closed beta phase. During beta, the Service is provided at no charge. We reserve the right to introduce fees, modify features, or discontinue any part of the Service at any time with or without notice. During beta, data may be lost, features may change significantly, and the Service may experience downtime or interruptions.

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

The Service uses artificial intelligence to send communications (including SMS messages), negotiate pricing, and take actions on your behalf. By using the Service, you acknowledge and agree that:

• All communications sent by the AI through the Service are sent on your behalf and as your representative.
• You are solely responsible for the outcomes of any negotiations, agreements, or deals facilitated by the AI, including any pricing decisions made by the AI on your behalf.
• Dispatchino acts solely as a tool provider and is not a party to any agreements, deals, or transactions negotiated or completed through the Service.
• AI-generated communications and decisions may contain errors. You are responsible for reviewing and monitoring the AI's actions and configuring appropriate safeguards (such as pricing thresholds) within the Service.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Send deceptive, fraudulent, harassing, or misleading communications through the platform.
• Misrepresent your carrier capabilities, operating authority, or business information.
• Spam, flood, or otherwise abuse the messaging capabilities of the Service.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.

The Service functions as a user-directed tool that assists you in managing data and workflows from third-party platforms, including load boards, marketplaces, and other industry services. Dispatchino does not independently access, scrape, or extract data from any third-party platform. Any data from third-party platforms that appears within the Service is provided by you or retrieved at your direction, using your own credentials and authorized access.

By using the Service in conjunction with any third-party platform, you represent and warrant that: (a) you hold a valid, active subscription or account with such platform; (b) you are authorized to access and use the data available through your account on such platform; (c) your use of the Service in conjunction with such platform complies with that platform's terms of service and all applicable laws; and (d) you will not use the Service to access any platform or data that you are not independently authorized to access.

Dispatchino is not responsible for the availability, accuracy, or performance of any third-party services. You are solely responsible for any consequences arising from your use of the Service in conjunction with third-party platforms, including any claims by such platforms related to your access or use of their data.

The Service may include browser extensions that operate within your web browser to help you interact with third-party websites you visit. These browser extensions act solely on your behalf and at your direction, within the context of your own authenticated browser sessions. The extensions do not bypass any authentication mechanisms, do not access data you are not already authorized to view, and do not transmit your login credentials to Dispatchino.

You are solely responsible for ensuring that your use of any browser extension provided by Dispatchino complies with the terms of service of the websites you visit while using the extension.

The Service, including its software, design, features, and documentation, is owned by Dispatchino and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all data you submit to the Service ("User Data"). By using the Service, you grant Dispatchino a non-exclusive, worldwide, royalty-free license to use, process, and store your User Data solely for the purpose of providing and improving the Service.

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

To the maximum extent permitted by applicable law, Dispatchino shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.

Dispatchino's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to Dispatchino in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Dispatchino does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

You agree to indemnify, defend, and hold harmless Dispatchino and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Data; (d) any communications sent through the Service on your behalf; (e) your use of the Service in conjunction with any third-party platform, including any claims by such platform or its affiliates related to your access, use, or alleged misuse of their services or data; or (f) any claim that your use of the Service infringes or violates the intellectual property rights, terms of service, or other rights of any third party.

Either party may terminate these Terms at any time for any reason. Dispatchino may suspend or terminate your access to the Service immediately, with or without cause or notice. Upon termination, any prepaid fees will be refunded on a pro-rata basis.

Following termination, we will retain your data for a reasonable period (up to 30 days) before deletion, unless a longer retention period is required by law.

You and the Company agree to try for 60 days to resolve any dispute informally before starting arbitration.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek relief in small claims court for disputes within that court's jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
